1. Acceptance of Terms

By accessing or using ClipForge ("Service"), operated by ClipForge ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms apply to all visitors, users, and others who access or use the Service. By using the Service, you represent that you are at least 13 years of age and have the legal capacity to enter into a binding agreement.

2. Account Registration

To access certain features of the Service, you must register for an account. When you register, you agree to:

• Provide accurate, current, and complete information during the registration process
• Maintain and promptly update your account information to keep it accurate, current, and complete
• Maintain the security of your password and accept responsibility for all activities that occur under your account
• Immediately notify us of any unauthorized use of your account or any other breach of security

We reserve the right to suspend or terminate your account if any information provided proves to be inaccurate, not current, or incomplete. You may not use another person's account without permission.

3. Credit System and Billing

3.1 Free Tier

New accounts receive 3 free video credits. Free tier videos include a ClipForge watermark and are limited to 30-second duration.

3.2 Subscription Plans

We offer the following subscription plans, billed monthly or annually:

• Starter ($15/month or $120/year): 50 videos per month, no watermark, 30s and 60s video lengths
• Pro ($39/month or $312/year): 150 videos per month, up to 90s video lengths, plus advanced features including Trend Radar, A/B Hook Testing, Content Calendar, Clone Video, Auto-Series, and custom niches
• Business ($99/month or $792/year): 500 videos per month, plus direct YouTube posting, API access, analytics dashboard, and affiliate program

Subscription credits reset at the beginning of each billing period and do not roll over to the next period.

3.3 Credit Packs

You may purchase one-time credit packs without a subscription:

• 20 videos for $15
• 50 videos for $29
• 150 videos for $59

Credit pack credits do not expire and remain available until used.

3.4 Payment Processing

All payments are processed through Stripe. By providing payment information, you authorize us to charge the applicable fees. You are responsible for all charges incurred under your account. All fees are stated in US dollars and are non-refundable except as required by applicable law.

3.5 Cancellation

You may cancel your subscription at any time through your billing page. Upon cancellation, you will retain access to your paid features until the end of your current billing period. No partial refunds are provided for unused portions of a billing period.

4. Content Ownership

4.1 Your Content

You retain full ownership and commercial rights to all videos generated through the Service using your account. You may use, distribute, monetize, and publish generated videos on any platform without attribution to ClipForge.

4.2 License Grant

By using the Service, you grant us a limited, non-exclusive license to process your inputs (such as topics, niches, and customization preferences) solely for the purpose of generating video content for you. We do not claim ownership of your inputs or generated outputs.

4.3 Feedback

Any feedback, suggestions, or ideas you provide regarding the Service may be used by us without restriction or compensation to you.

5. Acceptable Use Policy

You agree not to use the Service to:

• Generate content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
• Generate content that promotes violence, discrimination, or hatred against any individual or group
• Generate content that infringes upon the intellectual property rights of others
• Generate content that contains personal or identifying information of third parties without their consent
• Generate misleading content designed to deceive or defraud others
• Attempt to circumvent rate limits, credit systems, or other technical restrictions
• Use automated tools, bots, or scripts to access the Service in a manner that exceeds reasonable use
• Reverse engineer, decompile, or disassemble any aspect of the Service
• Interfere with or disrupt the integrity or performance of the Service
• Resell or redistribute the Service itself without our written consent

We reserve the right to remove content or suspend accounts that violate this policy.

6. Stock Footage Licensing

The Service utilizes stock footage sourced from Pexels. All stock footage is provided under the Pexels license, which permits free use for commercial and non-commercial purposes. You may not sell unaltered copies of stock footage or use identifiable persons in the footage in a way that may be considered offensive or misleading. 7. AI-Generated Content Disclaimer

The Service utilizes artificial intelligence models to generate scripts, select footage, produce voiceovers, and assemble videos. While we strive for accuracy and quality:

• AI-generated content may contain inaccuracies, errors, or unintended outputs
• You are solely responsible for reviewing all generated content before publishing
• We do not guarantee that AI-generated content will be free from errors, biases, or inaccuracies
• The Viral Score and Trend Radar features provide predictions based on AI analysis, and actual performance may vary
• We make no guarantees regarding the performance, engagement, or virality of any generated video

You acknowledge that AI technology is evolving and outputs may vary in quality over time.

8. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied
• We disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement
• In no event shall ClipForge, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, goodwill, or other intangible losses
• Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount you have paid to us in the twelve (12) months preceding the claim

9. Indemnification

You agree to indemnify, defend, and hold harmless ClipForge and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorney fees) arising from or related to your use of the Service, your violation of these Terms, or your violation of any rights of another party.

10. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including but not limited to a breach of these Terms.

Upon termination:

• Your right to use the Service will immediately cease
• You may lose access to any data, content, or videos stored in your account
• Any outstanding fees remain due and payable
• Provisions that by their nature should survive termination will remain in effect

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which ClipForge operates, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved through binding arbitration or in the courts of competent jurisdiction.

12. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to the new terms taking effect by posting the revised Terms on our website and updating the "Last updated" date. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
